This Website is published, operated and owned by Oldfields (N.Z.) Limited (NZBN 942 904 776 8703) , and its parent, subsidiaries, successors, assigns and affiliated companies (collectively “Oldfields Group”, “Oldfields”, “we” or “us” or “our”).
Your use of www.oldfieldsnz.co.nz or any hosted webpages (“Website”) and all related services or purchases of products by you from Oldfields by any means (including by phone/email) (collectively the "Services") is subject to these Conditions of Sale (“Sale Terms”). If you do not accept these Sale Terms, you should not access the Website, nor make a purchase with us. By accessing the Website or making a purchase, you agree that you have read, understood and to be bound by these Sale Terms. If you do not agree to any aspect of these Sale Terms, do not use this Website or send your personal information to Oldfields.
Please read these Sale Terms carefully before accessing this Website, or before purchasing any products from the Website or Oldfields.

Definitions

“Contract / Agreement” means the contract under these Sale Terms which is formed when you place an Order and Oldfields confirm acceptance of such Order;

“Transaction / Order” means any offer for purchase placed by You via our Website for one or more Products for delivery to third-party retailer stores or other locations;

“Personal Information” means any identifiable information about an individual to include without limit your full name, address, and payment/card details;

“Product” means any product available for purchase including as advertised on this Website, which may be manufactured and/or imported by Oldfields Group;

“You/Your” means a user of this Website who may place an Order.

We store and deal with your personal information in accordance with applicable privacy laws and our Privacy Policy. By placing an Order, you consent to the processing described therein.

Price and Products

Prices shown on www.oldfieldsnz.co.nz are in New Zealand dollars and include GST where applicable. Prices do not include delivery and handling charges unless otherwise stated on the corresponding product page. This is depending on the value of the order and applicable delivery and handling charges will be displayed at checkout or notified to you before Oldfields accepts your Order.
Any published price, discount or saving in respect of a product is by reference to the recommended retail price of Oldfields.
Images/Videos of products shown without any advertised or denoted price beside that image or video, are not offered for sale or treat.
Unless otherwise stated, any paint, furniture, uniforms or accessories shown in any image of products are not included in the price or for sale by us.

Prices are subject to change.

We may add or remove products from the Website, and products described on the Website may not be available, from time to time. In the event that any product ordered is no longer available we reserve the right to refuse or cancel an Order.

While we try to ensure that the availability, price and description of goods and services is accurate, if there is an error with the listing of a product on our Website or a technical error in the processing of your Order, we reserve the right to refuse or cancel the order.

Our right to cancel Orders applies to orders that are accepted.

Placing Orders

We recommend Buyers always carefully review any proposed Orders (including quantities and pack sizes) before adding them to your shopping cart and proceeding with your Order / Transaction confirmation.

Representations of products for sale made by Oldfields via the Website do not constitute an offer to sell, but an invitation to treat. This means no Agreement is formed until your Order is accepted by Oldfields.

Oldfields and you may enter into a contract for the sale and supply of products by you making an offer via the Website to purchase a product at the price and quantities advertised on the Website by:

  • placing an electronic Order for the products using the Website;
  • you confirming the Order details via the Website or email/phone;
  • you making payment in full (plus any applicable freight charges); and
  • the acceptance of that offer in writing by Oldfields.
You acknowledge that:
  • the transmission of your offer or the confirmation of any payment, made through an electronic instruction may not be received by Oldfields for reasons beyond either parties' reasonable control including but not limited to failures related to computer systems, internet connection, KYC compliance, telecommunication, or the omission or failure of third party providers;
  • Oldfields shall treat an electronic instruction from you as genuine and is under no obligation to investigate the authenticity or authority of persons issuing or transmitting such electronic instructions, or to investigate the accuracy and completeness of such electronic instructions;
  • any representations made about stock availabilities are accurate to the last known quantity and can be subject to change. If we cannot supply a particular product on your Order, we will notify you promptly by telephone or email to either cancel that item, or offer an alternative;
  • if Oldfields has not already provided written acceptance of your Order, Oldfields will be deemed to have accepted your Order when your Order is delivered to your specified address; and
  • Oldfields may, in its sole and absolute discretion, accept or reject any offer made by you for any reason, including an error in the advertised price for, or description of the products on the Website, or other error in your Order.

By placing an Order, you are offering to purchase a product on and subject to these Sale Terms. You agree that you have entered into a legal contract with Oldfields Group. These Sale Terms, together with our Website's Terms of Use constitute the entire agreement between you and Oldfields in relation to the Services, including the supply of any Orders made by you to the exclusion or any other written or oral discussion we may have with you.

All Orders are subject to stock availability and confirmation of the order price. Dispatch times may vary according to service availability and any guarantees or representations made as to delivery times are subject to any delays resulting from postal delays or force majeure events outside of our control for which we will not be responsible or liable for.

In order to contract with Oldfields you warrant you are over 18 years of age and have authority to use your chosen payment method. Oldfields retains the right to refuse any special request made by you.

Terms of Payment

Payments are made via the Shopify payment gateway, or PayPal secure payment gateway facilities, neither payment services are provided by Oldfields and will be subject to any further terms and conditions of these external providers. We make this available for your convenience only. We are not responsible for any third-party payment services, nor do we provide any endorsement as to its suitability, or any representations or warranties to you in relation to the providers and payment services.

Unless otherwise agreed in writing, payment must be made in advance by the Buyer without set off or deduction before acceptance of an Order or delivery of the products. In all instances, the Company reserves the right to make delivery of any Orders or products conditional upon pre-payment and subject to your consumer rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1985.


If the Buyer has received an Order or products but the original payment method is subsequently deemed invalid, illegitimate or reversed for any reason, you agree that Oldfields may do all or any number of the following:

  • charge interest on the amount of the Order at the rate of 5.5% p.a. pro-rated daily (Oldfields reserves the right to review this rate from time to time and will notify customers via the Conditions of Sale (https://oldfieldsnz.com.nz/pages/conditions-of-sale) of any resulting increase (or decrease) in this default interest rate.); and/or

  • refuse to make any delivery or permit collection of any further products in the Contract, refuse to accept any subsequent Order or cancel any unfulfilled Contract until the amount due has been paid in full and without setoff.
When placing an Order you warrant that all details you provide to us are true and accurate, that you are an authorised signature or user of the payment method used to place your Order and that there are sufficient funds to cover the cost of the goods.

Faults, Returns & Cancellations

The Buyer must examine the products supplied by Oldfields on delivery or collection.

The Buyer shall notify Oldfields of any shortfall in a relevant Order within 48 hours of delivery of the Order. Otherwise, but subject to your consumer rights, you will be deemed to have accepted a delivered Order after this time.
The Buyer shall within 14 days of each delivery of products give full and detailed particulars in writing to the Company of any defects in relation to any Order which is not satisfactory to it. Failing such notice, subject to your a consumer rights under New Zealand Consumer Law, the products shall be deemed in all respects to have complied with such Order. Oldfields may at its discretion waive its rights.

You can refund your purchase of unused Product(s) from the Website within 14 days of the date on which you received your Order and receive a refund. To request a refund, you must email us at sales@oldfieldsnz.co.nz within 14 days of receipt of your Order, and return your Order to Oldfields within 14 days of our confirmation reply.

After that time, any unused products may be able to be returned to the Company by the Buyer for credit if agreed with Oldfields.

If Oldfields agrees to accept the return of any such products, the Buyer must return the products in a new, undamaged, unused and saleable condition to Oldfields satisfaction. The Buyer shall be responsible for all return delivery and handling costs and Oldfields may deduct from any credit the original delivery and handling costs plus a reasonable processing fee.

Newsletters and Offers

By submitting your details you agree to be a member of the Oldfields mailing list and will receive occasional notifications via email, text messaging and or regular post outlining new products, offers and other information relevant to Oldfields’ Services including occasional third-party related products and services (e.g. paint retailers).

Security and Transmission

Given the nature of the internet, Oldfields cannot guarantee that any data transmission you make is totally secure, free from viruses, malware, or other conditions which could damage or interfere with your computer systems and personal information. You must take your own precautions to ensure that the process and links which you use to access the Website do not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer or mobile phone system. Such precautions include ensuring the website address for Oldfields is accurate and not fraudulent, your antivirus software is up to date, your credit card is not automatically re-used by another user on your computer and the security certificate (SSL) for the Website in fact verifies the Website to be Oldfields own.

Oldfields does not warrant that your access to the Website will be uninterrupted, error free or that any defects will be corrected. Whilst Oldfields take reasonable precautions to protect information, Oldfields does not warrant and cannot guarantee the security of any content or information you transmit via the Website.

For example, to protect your information the Website utilises the industry leading Shopify payments platform and PayPal secure payment gateway to be our payment processor when accepting payments online and electronically. To the extent permitted by law, you indemnify Oldfields and its agents from any responsibility for any damages, claims or consequential losses (whether direct or indirect) suffered by you or any user acting on your behalf where a payment/credit card or PayPal account is fraudulently used or is used in an unauthorised manner.

For the avoidance of doubt, neither Oldfields nor its third parties will accept any responsibility for any interference or damage to your own device, which arises in connection with your use of this Website, any website or any linked website.

Intellectual Property

Our products, Website and other materials are protected by copyright, trademark and other intellectual property rights owned by us and our licensors. All rights are reserved to us. You may not extract, copy or otherwise reproduce any of our intellectual property rights (in any form) without our prior written consent.

Liability

To the extent permitted by law, Oldfields its directors, shareholders, subsidiaries and their respective shareholders, officers, employees, advertisers, content providers and licensors exclude all liability, including negligence, whether in contract tort or otherwise for any direct, indirect or consequential loss or damage arising out of or in connection with the Website or our Services, including (without limitation) loss or damage you might suffer as a result of:
  • errors, mistakes or inaccuracies on the Website;
  • product release delays or unavailability;
  • any act you take, or fail to take, due to any information contained on or referred to on the Website;
  • personal injury or property damage of any kind resulting from your access or use of the Website;
  • any action or inaction outside our reasonable control (including that of third party providers and delivery agents); and
  • any interruption from or to the Website.
You agree to indemnify Oldfields (N.Z.) Limited, each related body corporate of Oldfields and any other persons involved in the creation of this Website from all damages, losses, penalties, fines, expenses and costs (including legal costs) which arise out of or relate to your use of this Website, any information that you provide via this Website or any damage that you may cause to this Website. This indemnification includes, without limitation, liability relating to copyright infringement, defamation, invasion of privacy and trade mark infringement.
This clause is not intended and will not exclude or limit any rights which you may have under New Zealand Consumer Laws.

Your conduct

You must not:
  • use the Website in breach of any applicable laws or regulations; or
  • interfere with, disrupt, or create an undue burden on the Website.
Oldfields reserves the right to block or suspend any user or order without notice.

    Waiver

    Failure or neglect by Oldfields to enforce at any time any of the provisions of these Sale Terms shall not be construed or deemed to be a waiver of the rights of Oldfields under these Sale Terms unless given in writing.

    Jurisdiction

    These Sale Terms shall be governed by and construed according to the laws of New Zealand and you irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of New Zealand.

    Changes to these Sale Terms

    Oldfields reserves the right to amend these Sale Terms from time to time. We will notify you of the changes by posting the updated version of the Sale Terms on our Website. If, at any time, you do not agree with any of our Sales Terms, you must not use the Services.

    Severance of clauses

    If any clause of these Sale Terms is held to be invalid, void, unlawful or unenforceable for any reason, that clause will be severed from the Sale Terms and it will not affect the validity and enforceability of the remainder of the Sale Terms.
